AI meeting assistants are the single fastest-growing AI category inside NJ small and mid-size businesses right now, and they are also the single most common source of "we did not realize that was happening" conversations we have with clients. Tools like Otter, Fathom, Read.ai, Fireflies, tl;dv, Microsoft 365 Copilot's meeting recap, and Zoom AI Companion are showing up on calls without any formal approval, recording conversations, transcribing them, summarizing them, extracting action items, and storing all of it on a third-party platform under an employee's personal account. The short answer for most businesses is that these tools can be used safely, but only if a handful of specific controls are in place first. This is the checklist we walk through with every client that asks.

Why AI Meeting Assistants Are Different From Other AI Tools

Most AI tools process text that a user explicitly pastes into them. A meeting assistant processes whatever was said on a call, including things the speakers never intended to send anywhere. A sales call might include a client's home address, a health disclosure, a protected-class fact, a child's name, a private price discussion, or an off-the-record strategy comment. All of it gets captured, transcribed, stored, and in many cases used to generate summaries emailed to parties who were not on the original call.

That is a qualitatively different risk than a chatbot. The data source is a live conversation, the capture is often automatic, the retention is on the vendor's servers by default, and the downstream distribution is a one-click share to anyone the user wants. Layer on top of that the fact that many of these tools run under a personal email account the employee signed up for themselves, and you have a shadow-IT problem with a consent-law problem stapled to it.

What we are seeing in the field: A Morris County law firm discovered that a paralegal had been running a free-tier meeting assistant on every client intake call for four months. The vendor's free tier used uploaded recordings for model training. The firm spent six weeks working with the vendor to confirm deletion, renegotiating its malpractice coverage, and drafting notifications to 83 clients. Total cost, before any client reaction, was well into five figures.

The New Jersey Consent Rule You Probably Are Not Following

New Jersey is a one-party consent state for the recording of in-person and telephonic conversations, which means a recording is lawful if at least one participant on the call consents. That is the rule most businesses have in their heads. It is also not the whole picture for a 2026 AI assistant deployment.

First, many of your clients, vendors, and prospects are not in New Jersey. California, Florida, Illinois, Massachusetts, Pennsylvania, and Washington, among others, are all-party consent states. A New Jersey employee on a call with a California client is generally held to the stricter rule. If the AI assistant is recording, every non-NJ participant needs to be notified and consent captured.

Second, consent to be "recorded" is not the same as consent to have the audio, transcript, and derived summaries uploaded to a third-party AI vendor, stored indefinitely, and potentially used to improve a machine learning model. That is a data-processing question, and for regulated industries it is also a Business Associate or Data Processing Agreement question. A generic "this meeting is being recorded" disclosure does not meet the bar for HIPAA, GLBA, or most sector-specific compliance regimes.

Third, several of the newer AI meeting tools do not produce a visible recording indicator in the other party's client. They join as a silent participant, or they operate from the host's local audio capture with nothing visible at all. The legal risk of an undisclosed AI participant on a call is, in our read, strictly worse than an undisclosed human note-taker, and plaintiff-side attorneys have started to notice.

The Five Questions to Ask Before Approving Any Meeting Assistant

We use a short vendor checklist with every client that is rolling out a meeting assistant. If the answer to any of these is unclear, the deployment is on hold until it is clear.

1. Who owns the data, and for how long? The contract, not the marketing page, needs to answer this. Look for the Data Processing Addendum, the retention schedule, and the training-data clause. A free tier that trains on customer recordings is a non-starter for any business with regulated data, client confidentiality obligations, or a serious competitive moat. Enterprise tiers from the major vendors generally have a no-training clause, but you need it in writing.

2. Where are the recordings and transcripts stored, and who can subpoena them? If the vendor stores data in a single US region on your dedicated tenant, that is one risk profile. If it replicates globally or stores on shared infrastructure, that is a different risk profile and may cross a compliance line. For legal, financial, and healthcare firms, this single question has killed more vendor evaluations than any other.

3. How does the tool handle consent disclosure on the client side? The assistant should either announce itself audibly when it joins, post a visible indicator for every participant, or be explicitly acknowledged in a meeting-invite disclosure that every participant accepted. Tools that silently attach to the host's audio are a liability risk, full stop.

4. Can you disable automatic recording by default? The riskiest configuration is the one where the assistant records every calendar event automatically. Employees forget, the tool records a call it was never supposed to, and a sensitive conversation ends up in the vendor's cloud. Admin controls should allow opt-in per meeting, with policy-enforced off-by-default for specific meeting types or attendee domains.

5. What is the deletion process, and how fast is it? A client asks you to delete a recording. You need to be able to, in hours not weeks, remove the recording, the transcript, and any derived summary from every place it was stored. If the vendor's answer is "submit a ticket and we'll get to it," that is not an acceptable answer for a business subject to GDPR, CCPA, HIPAA, or any state data-privacy framework, and in 2026 that is almost every business.

A Workable Rollout Pattern for NJ SMBs

The businesses that get this right tend to follow the same rough sequence. We have seen enough deployments at this point that the pattern is now our default recommendation during a managed IT services quarterly review.

Start by picking one approved tool for the whole company. Trying to support four different AI meeting assistants at once is how shadow IT blooms. The best default for most SMBs is whichever assistant is already bundled with the collaboration suite the business licenses. If the business is on Microsoft 365, that is Copilot's meeting recap inside Teams. If the business is on Google Workspace, that is Gemini in Meet with Take Notes. If the business runs the bulk of its calls on Zoom, Zoom AI Companion is a reasonable default. The tenant-scoped, admin-controlled, DPA-backed version of a tool is almost always preferable to the standalone third-party app.

Next, license it at the enterprise tier with SSO and admin controls enabled. The cost delta between the personal tier and the enterprise tier is almost always smaller than the cost of a single incident. This also means moving employees off their personal accounts, which is a one-time friction that pays for itself within a quarter.

Then, turn recording off by default and require explicit opt-in at the meeting level. Publish internal rules on what kinds of meetings may be recorded. Legal strategy sessions, personnel discussions, litigation calls, M&A conversations, and anything covered by attorney-client privilege should be on a "never record" list that is enforced in the admin console where possible.

Publish a consent script. Something short, ideally in the calendar invite and repeated verbally at the start of the call: "This meeting is being recorded and transcribed by an AI assistant. The recording is stored on our internal tenant. Let us know if you would like the assistant off for this meeting." That single sentence resolves the vast majority of multi-state consent issues.

Industry-Specific Notes

Healthcare: Any meeting assistant that processes Protected Health Information must be covered by a signed Business Associate Agreement. Most consumer-tier meeting assistants cannot offer one. Use the enterprise tenant of whichever tool is bundled with your HIPAA-compliant collaboration stack, and confirm the BAA is executed before the first recorded call.

Financial services: FINRA, SEC, and NJ Bureau of Securities rules treat recorded client communications as books and records. If the meeting assistant is going to capture client-advisor conversations, the retention, search, and supervisory review requirements of SEC Rule 17a-4 and FINRA Rule 4511 still apply. The tool needs to integrate with your WORM-storage and compliance archiving platform, not replace it.

Legal: Attorney-client privilege is waived more easily than attorneys assume when a third-party AI processor sits in the middle. If the vendor's DPA does not explicitly acknowledge that processed content remains privileged, privileged material should never touch the tool. Run the vendor contract by outside counsel before deployment. This is the one category where we will tell clients to slow down.

Education, government, and anyone handling student or constituent data: FERPA, state-specific public-records rules, and the NJ Office of Information Technology guidance all apply. Assume everything the assistant touches is discoverable, and deploy with retention and access controls that match a public-records posture.

Frequently Asked Questions

Can we just ban AI meeting assistants entirely?

You can, but in our experience the ban rarely holds. Employees see colleagues at other companies using them, the productivity pitch is real, and the tools are available with two clicks. A ban that is not enforced at the technical layer pushes use underground, where you have zero visibility into what got recorded or where it went. The more durable answer is to approve one tool at the enterprise tier, enforce it in the browser and endpoint layer, and publish clear rules.

Is Microsoft 365 Copilot's meeting recap safer than Otter or Fireflies?

It is not automatically safer, but it is easier to deploy safely. The recap runs inside your M365 tenant, under your DPA, with your retention and eDiscovery controls, and without a separate third-party vendor relationship to manage. For businesses already licensed on M365 with Copilot, that is a meaningful reduction in governance overhead. Otter and Fireflies have strong enterprise offerings and can be deployed safely, they just require a separate vendor review.

What do we tell a client who asks us to delete their recording?

Acknowledge the request the same day, execute the deletion across the recording, transcript, and any derived summaries within 72 hours, and send written confirmation back to the client. You need a documented deletion process that your people actually follow, and you need a vendor whose controls let you execute it quickly. If either of those is missing today, that is the gap to close before the next client call.
